a) The items specified within this website are hereinafter referred to as the ‘Goods’.
b) The ‘Purchaser’ is the Company, Person, Corporation or Public Authority purchasing the Goods and includes their successors or personal representatives.

| 2. |
Carriage Charges |
| |
Purchase prices do not include carriage and packaging, and any expenses incurred by Enterprises Unlimited in delivering Goods will be paid by the Purchaser. |

| 3. |
Contract of Sale |
| |
The Contract of Sale commences when instructions have been received from the Purchaser and accepted by Enterprises Unlimited and terminates when all parties have discharged their contractual obligations. The Goods are sold subject to the terms overleaf and herein set out. All terms whatsoever other than those expressly set forth herein are hereby excluded. All Goods remain the property of Enterprises Unlimited until paid for in full. |

| 4. |
Responsibilities of Person Ordering |
| |
The person ordering Goods warrants that he/she has authority of the Purchaser to make this contract of sale on the ‘Purchaser’s behalf’. The purchaser or his representative hereby acknowledges the he/she has been instructed in the use of Goods. |

| 5. |
Purchaser’s Responsibility – Third Party |
| |
The Purchaser shall at all times and in all respects indemnify Enterprises Unlimited against and from, any and every expense, liability, loss, claim or proceeding whatsoever in respect of any personal injury whatsoever and in respect of damage to any property whatsoever (including the Goods) arising out of or in connection with or consequent upon the purchase, delivery, use, misuse, non-use, repossession, collection, return or non-return of the Goods or any part thereof. |

| 6. |
Loading and Unloading |
| |
The Purchaser shall be responsible for unloading the Goods at the site specified by the Purchaser. Any person supplied by Enterprises Unlimited shall be deemed to be an employee of the Purchaser at such times. The Purchaser must satisfy him/herself that the Goods are in good order and not damaged in any way upon delivery. Enterprises Unlimited will accept no liability for damage in transit once goods have been signed for. |

| 7. |
Application of Goods |
| |
Goods should be used only for the purpose specified by Enterprises Unlimited and in accordance with instructions supplied by them. |

| 8. |
Breakdown Procedures During Guarantee Period |
| |
Any breakdown or unsatisfactory working of Goods must be immediately notified to Enterprises Unlimited. Under no circumstances shall the Purchaser repair or attempt to repair the Goods unless authorised and instructed by Enterprises Unlimited.
Repairs or replacement will be made free of charge in respect of any guaranteed part or parts which fail under the circumstances set out in the guarantee, following their return carriage paid to Enterprises Unlimited.
Enterprises Unlimited only undertake to make adjustment or repair the Goods on their premises. Goods may be returned to Enterprises Unlimited for replacement, carriage paid, or Enterprises Unlimited will deliver a replacement but reserve the right to charge carriage. |

| 9. |
Repair of Goods Not Covered By The Terms Of The Guarantee |
| |
Repair of Goods damaged accidentally, by neglect or misuse may be undertaken at the discretion of Enterprises Unlimited, but any such repair will not be guaranteed. The Purchaser agrees to pay Enterprises Unlimited all costs incurred by Enterprises Unlimited in repairing or replacing damaged Goods not covered by the terms of the guarantee. |

| 10. |
Consequential Loss |
| |
Enterprises Unlimited accepts neither liability nor responsibility for any consequential loss, incurred cost or damage due to or arising from breakdown, delay or stoppage of the Goods through any cause whatsoever or Enterprises Unlimited’s inability to supply. |

| 11. |
Cancellation Charges |
| |
Should, for any reason, the Purchaser wish to cancel the Contract of Sale, in whole or part, Enterprises Unlimited reserve the right to make the following charge based on the total invoice amount
25% After confirmation of contract
50% 2 weeks before dispatch of Goods
75% 1 week before dispatch of Goods
100% on the day of dispatch of Goods |

| 12. |
Separate Term Validity |
| |
Should any term in this contract be held to be invalid such invalidation will not affect the validity of the remaining terms. |

| 13. |
Terms of Payment |
| |
Payment of invoices shall be made without any deduction or set-off in cash so as to be received by Enterprises Unlimited within thirty days of the date thereof. Enterprises Unlimited reserves the right to re-possess any of the Goods in respect of which payment is overdue and thereafter to resell the same and for this purpose the Purchaser hereby grants an irrevocable right and license to Enterprises Unlimited agents to enter upon all or any of it’s premises with or without vehicles during normal business hours. |

Industrial Guarantee |
| |
Enterprises Unlimited hereby guarantee the Industrial/Commercial equipment enumerated on this invoice for a period of 12 months from the date hereof against malfunction and defects arising from faulty workmanship or materials, but excluding breaks in hoses or electrical flexes, provided that the equipment has been used on the correct electrical voltage and in accordance with instructions.
We agree to repair or replace free of charge any part or parts which fail under these circumstances following their return carriage paid to Enterprises Unlimited, Unit 10 Glen Industrial Estate, Essendine, Stamford, Lincs PE9 4LE, within the specified period of time.
Our guarantee expressly excludes defects arising from fair wear and tear, accidental damage, neglect or misuse. Also excluded from our guarantee are any consequential losses whatsoever, which may be said to have been incurred by breakdown or malfunction of the equipment. This Company’s liability extends only to replacing or repairing defective parts which fail due to faulty workmanship or materials within the first 12 months of use.
